Responsible for transaction and portfolio management, compliance, and analytical activities in support of the TAP Venture Philanthropy, Research Grant, and other Mission initiatives for the Leukemia & Lymphoma Society (LLS)
Areas of Responsibility:
- Develop and implement organizational best practices with regard to contract process and documentation, and managing and tracking pre-closing, closing, and post-closing obligations.
- Develop and implement document version control and tracking process and reports for term sheets, definitive agreements, and exhibits to agreements.
- Develop and implement standardized transaction and diligence checklists, and reports.
- Ensure contract documents are uploaded into LLS contracts portal, and filed in appropriate locations within LLS IT systems, so that appropriate stakeholders in Legal, Finance, Mission, and other LLS functional areas have access as appropriate for the function and role.
- Identify and follow up on post-signing/closing funding, accounting, and compliance obligations.
- Identify and request missing securities or transaction documents, documentation, or filings.
- Implement tracking, reporting, and follow up activities related to reporting obligations of current and prior TAP portfolio companies, research institutions that received TAP funding, and licensees of institutions that receive TAP or Grant funding.
- Obtain and review required reports from partners, including filed with securities exchanges for publicly traded firms, related to financial strength,product development, milestone, sales, and monetization transactions (e.g. licensing transactions, creation of start-up newco’s).
- Track and monitor portfolio management meetings, and develop standardized materials for meetings including financial health metrics/scorecard, governance changes and reports.
- Evaluate the effectiveness of portfolio health metrics.
- Track, review, and integrate time spent on projects by external consultants and legal counsel into reports by project, activity, or other identified metrics.
- Perform financial analysis on prospect companies and projects, and ROI calculations for prior and potential transactions to analyze and shape deal structures.
- Review and analyze company board structures, investors, auditors, financing strategy, forecasts, and benchmark comparable metrics on probability of success.
- Negotiate contract amendments, revenue sharing, and other agreementswith companies and institutions using external consultants and legal counsel under guidance of business lead.
- Ensure satisfaction of participants with deliverables, and timely resolution of problems.
- Maintain a working knowledge of the LLS's mission and programs to promote the Society's innovation funding, research, and mission initiatives.
- Perform other related duties as assigned.
Educational Background:
Bachelor’s Degree or higher in Business.
Skills/Experience:
- 5 years experience managing biotech research contracts, license, collaboration, or equity investments agreements, performing basic financial analyses, and developing key terms.
- Collaboration skills to work with LLS Mission, Finance and Legal team members.
- Knowledge and experience in managing contract process/documents across departments.
- Knowledge and experience in financial analysis and forecasting.
- Knowledge of drug development process.
- Excellent verbal and written communication skills.
