The American Heart Association (AHA) has an excellent opportunity for a Transaction ServicesAttorney in our National Center office located in Dallas, Texas .
The Attorney will work on strategic transactions, including mission-related joint ventures, alliances, integrations, acquisitions and divestitures as well as related activities throughout the transaction lifecycle. Additionally, this role works closely with others in the Transaction Services team and other cross-functional groups (e.g., Finance, Tax, HR, IT, etc.) and will actively manage transactions from NDA through integration, separation or launch within the scope of the Association’s strategic development activities.
- Develop and execute our strategic vision in connection with the review and implementation of transactional services.
- Support all legal dealings related to strategic development including but not limited to non-disclosure agreements, due diligence, entity formation, contract review, external counsel management and governance.
- Support wide range of domestic and international transactional activity, including acquisitions, alliances, mission-related joint ventures, integrations, divestitures and investments.
- Assist business partners in identifying and mitigating risks during transaction negotiation and execution of the transaction.
- Explain contract provisions to business partners in a clear and concise manner.
- Research legal issues related to relevant transactions and provide legal opinions on issues.
- Review, draft and negotiate complex transaction documents and entity formations.
- Manage outside counsel on transaction reviews and other transaction matters.
- Responsible for updating and developing best-in-class templates and other tools to effectively support the Transaction Services process.
- Responsible for post-transaction legal support for business integration and other needs to complete the project.
- Minimum seven (7) years of relevant Corporate M&A legal experience.
- Ability to interact comfortably with management; work independently; strong drafting skills; exceptional interpersonal skills; highly team-oriented.
- Commitment to professionalism; flexibility as to schedule for meeting transaction timeline and to the types of projects assigned; and solid business acumen required.
- Ability to manage high pressure, time sensitive and complex business transactions.
- Excellent organizational and presentation skills.
- Ability to work well both independently and as part of a highly collaborative and very international team, in a fast-paced environment.
- Strong work ethic and ability to make decisions, multi-task, prioritize and follow through on numerous projects simultaneously.

- International commercial contracting experience preferred.
