The American Heart Association (AHA) has an excellent opportunity for a Senior Attorney in our National Center office located in Dallas, TX .

The Senior Attorney will handle a wide range of contracts and related matters but will primarily work with and must have demonstrated experience in (a) technology licensing, enterprise-level technology agreements, or complex agreements for custom software development and related services, ideally related to healthcare, health information technology, or other sectors with highly confidential or regulated data copyright and trademarks and vendor agreements, and (b) complex intellectual property licensing and development agreements, ideally related to biotechnology, research and health information technology.

Areas of Responsibility: 
  • Interpret, draft, revise, negotiate, and approve form contracts, leases, intellectual property licenses and other agreements.
  • Provide legal support for our mission-related programs and business units.
  • Research legal issues and prepare legal opinions, including regulatory compliance obligations.
  • Develop and maintain general knowledge on relevant legal and regulatory risks, particularly in health information technology and data privacy protection.
  • Build effective relationships with key players in the business units.
  • Develop broad understanding of the AHA's operations and mission.
  • Contribute to the growth of the legal department and participate in departmental and organizational activities with co-workers.
  • Manage work by outside counsel, at times, to achieve optimal outcomes with contained costs.
  • Attend strategic meetings, providing legal input and guidance to your Legal teammates on intakes received related to a specific business area.
  • Conduct risk analysis and strategic planning to identify lower-risk alternatives as needed.
  • Assist with all aspects of company transactions including due diligence.
Educational Background: 
JD with Texas law license.
Skills/Experience: 
  • Minimum of five (5) years Legal experience in contract drafting and negotiation, intellectual property licensing, technology licensing, health information privacy and general business agreements.
  • Strong analytical thinking and ability to prepare clear, concise documents for commercial relationships.
  • Demonstrated experience working with legal compliance in one or more areas of governmental regulations.
  • Demonstrated experience with health information technology and security agreements.
  • Experience providing legal counsel on strategic business development, corporate governance and M&A activities.

Here are some of the preferred skills we are looking for:

  • Experience with enterprise technology or custom technology solution agreements.
  • Legal experience working within nonprofit organizations.
  • Experience with biotechnology IP rights and licensing.
  • Legal experience with research institutions or institutional review board submissions.
  • Experience and working knowledge of privacy laws such as HIPAA and HITECH.
