Provide professional assistance and legal support for General Counsel in preparing legal documents, performing legal research, and performing a variety of both complex and routine duties requiring knowledge and understanding of legal work. Handle corporate matters for the entire department (e.g. minutes and corporate documentation for the NGS Board and NGS affiliate boards). Work as a member of the LB&GA team to fill in and support other Society attorneys during staff illness or absence and on special projects when requested.

Areas of Responsibility: 
  • Board of Trustees and Corporate Matters: Responsible for the corporate administration of National Geographic Society and its affiliate companies; including preparation and mailings for NGS Board meetings, attending Board meetings, first draft of minutes of meetings of the Board and certain committees, and handling administration of Trustee travel arrangements, expense reimbursements and compensation.  Provide support as necessary for the NGS affiliate board meetings.  Anticipation and assistance in preparation of necessary Board and committee meeting documentation, resolutions and other corporate documents necessary to keep NGS and affiliate registrations current. (30%)
  • Document Drafting and Administration: Review, draft, and administer simple documents under attorney supervision.  Maintain and update master forms and templates as directed.  Track contracts through negotiation, approval, drafting, and distribution process.  Type, proofread, compare, and otherwise assist in drafting contracts and other documents.  Scan and format third party documents, as necessary, to create a document that can be edited or administered electronically.  Perform legal research and database searches.  Research, collect, compile, analyze, and prepare legal information and data for reports, memoranda, and draft responses to inquiries from clients and outside entities.  Anticipate and initiate correspondence and memos. (25%)
  • Client Support and Interaction: Use reasoning and initiative and exercise judgment in responding to questions and directing inquiries from Board members, assistants, outside counsel, clients and other members of the legal department regarding Board, contract, and legal or business affairs matters. (25%)
  • Document Management: Index and analyze documents for filing.  Organize and maintain legal divisional files, records, reports, and contracts in the appropriate electronic document management database and hard copy filing system. (10%)
  • Other Administration: Process, record, file, and categorize legal bills from outside counsel.  Create and maintain project charts and reports to ensure progress of work is tracked.  Fax documents as necessary and distribute mail (including faxes).  Lead preparation of annual budget and analysis of prior year’s results against budget. Make copies, obtain signatures, distribute documents, and other similar administrative tasks.  Manage the scheduling and arrangement of meetings, conference calls, seminars, travel plans, and the compiling, preparing, and distribution of materials for same.  Attend meetings to take notes as assigned.  Act as notary in accordance with applicable rules. (10%)
Educational Background: 
BA degree or paralegal certificate from an accredited program required.
Skills/Experience: 
  • 4+ years of corporate paralegal or legal assistant experience preferred.
  • Advanced skills in Microsoft Word, Excel, eDocs, and database applications; legal research skills including proficiency in use of Lexis and Westlaw and legal texts; detail oriented; organized; self-motivated; strong analytical and problem solving skills; excellent oral and written communication skills; effective telephone presence; ability to work well with others and interact directly with clients in a deadline driven environment; outstanding grammar, punctuation, and spelling. 
  • Must maintain a high degree of confidentiality in all matters of proprietary Society business and legal affairs.
