Responsible for transactions, portfolio management, compliance, and analytical activities in support of the TAP Venture Philanthropy, Research Grant, and other Mission initiatives for the Leukemia & Lymphoma Society (LLS)

Areas of Responsibility: 
  • Negotiate contract amendments, revenue sharing, and other agreements with companies and institutions working with LLS business and research leads, external consultants and legal counsel.
  • Obtain and review required reports from partners, including filed with securities exchanges for publicly traded firms, related to financial strength, product development, milestone, sales, and monetization transactions (e.g. licensing transactions, asset sales, creation of start-up newco’s).
  • Review and analyze company board structures, investors, auditors, financing strategy, forecasts, and benchmark comparable metrics on probability of success.
  • Perform financial analysis on TAP prospect companies and projects, and ROI calculations for prior and potential Research transactions to analyze and shape deal structures.
  • Ensure contract documents are uploaded into LLS contracts portal, and filed in appropriate locations within LLS IT systems, for stakeholders in Legal, Finance, Mission, to have access
  • Identify and request missing documentation or filings.
  • Develop and implement organizational best practices with regard to contract process and documentation, and managing, tracking, and reporting on pre-closing, closing, and post-closing funding, accounting, and compliance obligations
  • Develop and implement document version control and tracking process and reports for term sheets, definitive agreements, and exhibits to agreements.
  • Develop and implement standardized transaction and diligence checklists, and reports.
  • Track and monitor portfolio management meetings, and develop standardized materials for meetings including financial health metrics/scorecard, governance changes and reports.
  • Evaluate the effectiveness of portfolio health metrics.
  • Track, review, and integrate time spent on projects by external consultants and legal counsel into reports by project, activity, or other identified metrics.
  • Ensure satisfaction of participants with deliverables, and timely resolution of problems.
  • Maintain a working knowledge of the LLS's mission and programs to promote the Society's innovation funding, research, and mission initiatives.
  • Perform other related duties as assigned.

Physical Demands & Work Environment:

  • May be required to move physical files and standard office materials related to own workflow.
  • Periodic after hours support in transaction or project specific circumstances.
  • Periodic travel to meetings primarily in Northeast and Mid-Atlantic area.
Educational Background: 
Bachelor’s Degree or higher in Business
Skills/Experience: 
  • 5 years experience managing biotech research contracts, license, collaboration, or equity investments agreements, performing basic financial analyses, and developing key terms.

  • Enthusiastic, self-motivated and committed to excellence.
  • Capable of working well with a variety of personalities and leadership styles.
  • Experience using MS Office Suite, document review, tracking, and contact management software.
