The Associate General Counsel and Privacy Officer will support the EVP, General Counsel by providing legal counsel and advice on a variety of issues. The portfolio of work includes providing legal guidance to Y-USA and resources for the YMCA movement with a strong emphasis on privacy law. Additional areas of focus will vary based on the experience of the individual and the needs to the organization, but may include nonprofit law, political and lobbying, and/or intellectual property.
Areas of Responsibility:
- Serve as a strategic business partner and trusted legal advisor to Y-USA’s leadership team, help advance strategic business initiatives and provide day-to-day support.
- Takes the initiative and demonstrates a proactive, holistic approach to problem-solving
- Evaluate evolving laws and regulations and provide comprehensive advice regarding their impact to Y-USA departments and external partners that support the service delivery model for local YMCAs.
- Assist in driving the development of procedures, tools and metrics to monitor use and effectiveness of Y-USA service delivery, and reports on such trends.
- Work closely with the Procurement, Marketing/Communications and Financial Development teams with reviewing and negotiating contracts.
- Develop and/or review policies related to donors, YMCA members, grantees, licensees, volunteers (training, payments, etc.)
- Collaborate with IT Security on cyber security policies and procedures.
- Develop responses to privacy related inquiries from individuals, the news media, privacy advocacy groups, and industry and government regulators.
- Manage privacy-related enforcement actions and support litigation that includes privacy issues.
- Help develop integrated strategies across Y-USA to optimize new data use and innovations for the benefit of Y-USA and YMCAs.
- Develop positive cross-departmental working relationships to maintain an open environment for collaboration, risk identification, and remediation.
- Counsel consultants and member associations, as well as train, on legal issues.
- Develop and execute a content plan for Y-USA’s knowledge management system to further knowledge sharing in line with knowledge management governance policies.

Educational Background:
Juris doctorate required.
Skills/Experience:
- Illinois licensure or eligible for limited license for in-house counsel required.
- Minimum 10 years of experience in a corporate legal environment or as outside counsel is required.
- Demonstrated ability to effectively present and communicate information to colleagues, senior leadership, and Board of Directors.
- Strong background in contracts and/or corporate transactions is required.
- Demonstrated experience with communication privacy laws (such as CANSPAM and TCPA) as well as best practices and industry self-regulatory codes related to online advertising and social media.
- Demonstrated experience negotiating business associate agreements, particularly in connection with benefits, HR or technology-related areas.
- Knowledge of Medicare laws and regulations, HIPAA, and the False Claims Act.
- Demonstrated experience negotiating business associate agreements, particularly in connection with benefits, HR or technology-related areas.
- Demonstrated ability providing good, proactive professional guidance and advice, and sound business-focused solutions that combine excellent judgment, strategic thinking, creativity, risk-taking, and technical expertise.
- Demonstrated ability to effectively interact with a variety external stakeholder and vendors.
- Exceptional written, verbal and interpersonal communication skills with the ability to communicate and drive innovation at multiple levels
- CIPP and/or CIPM designation preferred
- Strong background in not-for-profit law is preferred.
- Collaborative work style that ensures all stakeholders are consulted where appropriate
- Intermediate level of proficiency in Microsoft Office is required
- Commitment to character development values of caring, honesty, respect and responsibility is required
Compensation/Benefits:
Salary: $170,000.00 - $200,000.00
