Assists attorneys in providing highly specialized legal services on complex and/or high value matters to advance TNC priorities, including with respect to impact investment activities, and appropriately manage risk.
With minimal supervision from a TNC attorney, the Paralegal II provides an advanced level of expertise to support and coordinate legal services on complex and/or high-value matters, including impact investment matters. This person will primarily support the attorneys who advise on TNC’s impact investing portfolio, ensuring that transactions and activities are legally sound and consistent with TNC’s mission, authority, policies, and procedures. This high responsibility position works with colleagues across the organization and will assist in the preparation of materials for TNC’s global Board of Directors and various Board subcommittees. Paralegal II applies advanced knowledge and skills to serve organizational needs in a highly efficient and effective manner. They are able to effectively articulate relevant legal concepts and internal policies and procedures to others. They have a solid understanding of the concepts of corporate governance, corporate transactions, legal liability and risk management.
This is a full-time, hourly position.
RESPONSIBILITIES AND SCOPE
- Supports attorneys that work on impact investment transactions, including structuring, deal execution, asset management, corporate governance, record retention and dispositions.
- Supports and coordinates complex and/or high-value transactions and contracts, non-profit law for tax-exempt organizations, regulatory compliance filings, employment law, litigation management or other specialized legal areas.
- Ensures legal commitments, TNC policies and procedures, and legal requirements are met and managed for compliance.
- Collects and manages official corporate legal files, in electronic and paper form.
- Drafts and revises complex legal documents for review by attorney.
- Independently drafts well-written memoranda, correspondence, and transaction documents (such as Board resolutions and officer certificates) and revises as necessary.
- Initiates and completes financial and accounting forms related to legal matters, and ensures that such forms comply with TNC policies and procedures.
- Assists business unit staff with preparation of project approval packages.
- Independently interacts and coordinates with assigned business unit staff and outside parties.
- May assist TNC attorneys in trainings for legal and business unit staff.
- Other duties as assigned.
- Experience conducting research on the Internet and in other legal resources.
- Experience with MS Office, Word, Excel, SharePoint and any other relevant technology
