The Internet Society (ISOC) and Internet Society Foundation have an immediate need for a Senior Counsel with 5+ years' experience that will assist the General Counsel in all legal affairs of the organization, including complex tax law issues, corporate governance, lobbying restrictions, grant and commercial agreements, enterprise risk management and intellectual property. This position will provide a unique opportunity to gain expertise in all legal and corporate affairs of international non-profit organizations.

The Ideal candidate should have strong document review skills, analytical and writing skills, attention to detail, good business judgment, excellent organizational skills, and the ability to work both collaboratively with the General Counsel and independently. Candidates should be eligible to be licensed to practice in-house in the VA jurisdiction.

Areas of Responsibility: 
  • Provide advice on laws applicable to nonprofits, including guidance on permissible beneficiaries, supporting and supported organizations, tax-related issues, excess benefit transactions, UBIT, and lobbying.
  • Assist the General Counsel in triaging and responding to a high volume of legal inquiries and issues.
  • Partner with the General Counsel to oversee the contract management function, including ensuring that contract processes are up-to-date and effective. Review, negotiate, and draft a variety of contracts, sponsorship and other agreements.
  • Draft and review grant agreements and facilitate the organizations’ grantmaking by advising staff on how to address and find solutions to questions that may arise concerning legal aspects of grantmaking and find solutions.
  • Partner with other operations team members to regularly update and improve standard templates, such as grant agreements, contract templates, offer letters, etc.
  • Partner with the General Counsel to create and update policies, procedures, and systems for legal compliance issues.
  • Provide support for corporate governance activities as directed by the General Counsel.

Skills/Experience: 
  • Minimum 5 years of legal experience in providing legal counsel to non-profit organization.
  • Juris doctor (JD) or LLM and current state license to practice law.
  • Experience in 501(c)(3) compliance highly desired.
  • Nonprofit Experience highly desired.
  • Global strategic thinking, sensitivity and knowledge of cultural and political environments and have a strong commitment to teamwork and accountability.
  • Skilled at reviewing, drafting, and negotiating a variety of agreements, such as grant, sponsorship and vendor agreements.
  • Outstanding judgment and creative problem-solving skills.
  • Exceptional and persuasive written and verbal communicator.
  • Commitment to the Internet Society’s mission, values and objectives.
  • Experience working with a Globally distributed workforce and ability to work across time zone.
  • Excellent interpersonal skills with the ability interact positively in a multicultural and multidisciplinary environment.
Compensation/Benefits: 

Up to $160k along with an excellent benefits package that includes the ability to work remotely, and a 401(k)-employee retirement and investment plan with a generous company contribution.
