The Chief Ethics and Compliance Officer oversees The Nature Conservancy’s Compliance Program to ensure compliance with the organization’s code of conduct, policies and procedures, and reviews and evaluates compliance issues/concerns within the organization. The Chief Ethics and Compliance Officer reports to the COO/General Counsel and to the Audit Committee of the Board.

Areas of Responsibility: 

The Chief Ethics and Compliance Officer implements strategies to manage and monitor internal and external risks by improving the coordination, dissemination and communications of compliance information and identifying gaps in compliance. S/He not only ensures management and employees follow the organization’s code of conduct, policies and procedures, but also helps build a culture of compliance within the organization. S/he partners with other departments (Internal Audit, Finance, Legal, and Human Resources), as well as senior managers, to implement compliance programs across the organization.  This position supervises the Deputy Ethics and Compliance Officer and the Compliance Program Coordinator.

RESPONSIBILITIES AND SCOPE 

  • Provides a single point of leadership and guidance for the implementation of the organization’s compliance program.
  • Establishes compliance training priorities, develops and coordinates all related training programs, and allocates training resources efficiently.
  • Serves as the officer responsible for privacy.
  • Chairs management’s Conflicts Committee.
  • Maintains working knowledge of relevant emerging changes in laws and regulations affecting the Conservancy´s operations globally, including those related to privacy and anti-corruption.
  • Manages investigations of allegations of non-compliance, which includes management of the compliance Hotline.
  • Develops and periodically reviews and updates TNC Policies and Procedures, Values and Code of Conduct to ensure continuing currency and relevance in providing guidance to management and employees.
  • Establishes and oversees a reporting and accountability system.
  • Attends and participates in meetings of the Board of Director’s Audit Committee.  May also prepare presentation materials for Committee meetings.
  • Designs and implements compliance training.
  • Interprets guidelines, policies and procedures and analyzes factual information.
  • Benchmarks the organization’s programs to ensure best practices in critical areas.
  • Periodically travels overseas to train Conservancy staff.
Educational Background: 
Juris Doctorate or other graduate degree in compliance related field.
Skills/Experience: 
  • 10 years relevant experience working on matters involving ethics, compliance and/or legal matters, and working with board of directors and senior-most management.
  • Sound judgement and decision-making ability, with the utmost integrity.
  • Ability to effectively relate to senior management and board members regarding difficult and complex issues.
  • Experience delivering presentations to senior management and/or board members.
  • Excellent written/verbal communication skills and strong organization and attention to detail.
  • Experience developing, implementing and managing diverse projects and implementing strategic program goals.
  • Excellent collaboration, communications, public speaking and presentation skills.
  • Work effectively in high-tension situations and maintains composure under pressure.  Diffuses high-tension situations comfortably.
  • Willingness to travel 30% of time, sometimes to remote locations.
